    Washington Builders Right To Repair Current Law Summary:

    Current Law Summary: (SB 5536) The legislature passed a contractor protection bill that reduces contractors' exposure to lawsuits to six years from 12, and gives builders seven "affirmative defenses" to counter defect complaints from homeowners. Claimant must provide notice no later than 45 days before filing action; within 21 days of notice of claim, "construction professional" must serve response; claimant must accept or reject inspection proposal or settlement offer within 30 days; within 14 days following inspection, construction pro must serve written offer to remedy/compromise/settle; claimant can reject all offers; statutes of limitations are tolled until 60 days after period of time during which filing of action is barred under section 3 of the act. This law applies to single-family dwellings and condos.

    Patriarch Partners Decision Confirms Government Subpoenas May Constitute a “Claim” Under D&O Policy; Warns Policyholders to Think Broadly When Representing Facts and Circumstances to Insurers

    January 08, 2019 —
    The Second Circuit recently confirmed in Patriarch Partners, LLC v. Axis Insurance Co. that a warranty letter accompanying the policyholder’s insurance application barred coverage for a lengthy SEC investigation, which ripened into a “Claim” prior to the policy’s inception date. The opinion left intact the lower court’s finding that the SEC subpoena constituted a “demand for non-monetary relief” and thus qualified as a “Claim” under the directors and officers (D&O) insurance policy.     I am happy to have been asked to serve as an instructor at this year's CLM Claims College – School of Construction, to be held at the Marriott Baltimore Waterfront in Baltimore, Maryland on Wednesday, September 7, 2016 through Saturday, September 10, 2016. Overview of the 2016 School of Construction Construction claims present myriad complexities in claim handling. Construction defect lawsuits are often multi-party cases with cross claims and third-party claims between and among the numerous defendants. Insurance coverage is intertwined and complex due to the interplay of primary, excess, wrap, and additional insurers for the numerous defendants. All this is further complicated by statutes and regulations, inconsistent case law and procedural peculiarities throughout the United States.     Miller Act and “Public Work of the Federal Government”

    March 01, 2017 —
    The Miller Act applies to the “construction, alteration, or repair of any public building or public work of the Federal Government.” 40 U.S.C. s. 3131. A recent opinion out of the Northern District of Oklahoma sheds light on what the Miller Act means regarding its application to any public work of the Federal Government. See U.S. v. Bronze Oak, LLC, 2017 WL 190099 (N.D.Ok. 2017). If the project is not a public works project of the Federal Government, the Miller Act does not apply. In this case, the Department of Transportation entered into an agreement with the Cherokee Nation where the Department would provide lump sum funding and the Nation would use the money to fund transportation projects. Based on the federal funding, the Nation issued a bid for a transportation project in Mayes County, Oklahoma and the project was awarded to a prime contractor. The prime contractor provided a payment bond that identified the United States as the obligee (as a Miller Act payment is required to do) and stated that it was issued per the Miller Act. Thereafter, the Nation and Mayes County, Oklahoma entered into a Memorandum of Understanding where the County would assume responsibility for the construction and maintenance of the project and the Nation would pay the County an agreed amount upon the completion of the project.     Texas Walks the Line on When the Duty to Preserve Evidence at a Fire Scene Arises

    October 14, 2019 —
    The extent to which a loss scene can be altered before adversaries can legitimately cry spoliation has long been a mysterious battleground in the world of subrogation. In the case of In re Xterra Constr., LLC, No. 10-16-00420-CV, 2019 Tex. App. LEXIS 3927 (Tex. App. – Waco, May 15, 2019), the Court of Appeals of Texas, Tenth District, addressed the question of when a party has a duty to preserve evidence. The court found that the trial court abused its discretion in imposing sanctions on the defendants for the spoliation of evidence as the evidence at issue was already gone by the time the defendants knew or reasonably should have known there was a substantial chance a claim would be filed against them. In this matter, Xterra Construction, LLC, Venturi Capital, Inc. d/b/a Artisan Cabinets and Keith D. Richbourg (collectively, Xterra) leased a commercial space from building owners Daniel Hull and William H. Beazley, Jr. (collectively, Hull) to be used as a woodworking and cabinet making warehouse. On October 18, 2014, there was a fire at the warehouse. By October 20, 2014, Xterra informed its insurance carrier, Cincinnati Insurances Companies (“Cincinnati”) of the loss and Cincinnati’s adjuster, Leann Williams (Williams), met with Keith D. Richbourg (Richbourg) at the site. Williams also hired expert Jim Reil (Reil) to inspect the fire scene to perform a cause and origin investigation. The next day, Williams informed Hull’s attorney that Reil would inspect the scene on October 23, 2014. Hulls attorney, however, did not send anyone to the scene to participate in the inspection. The Plaintiff asserted our Client allowed the use of the store’s parking lot as a pickup and drop-off location by agricultural laborers, resulting in increased pedestrian and vehicle traffic, which the surrounding streets were not capable of accommodating thereby creating an allegedly dangerous condition.     Union Handbilling: When, Where, and Why it is Legal

    November 06, 2018 —
    A few days ago, IBEW Local 98 began began protesting a restaurant owned by professional football player Jahri Evans. The organizers are accusing Evans of violating local construction wage standards and are advertising their dispute with “handbills.” What are handbills? Walking down Fremont Street in Las Vegas is impossible without one or several characters putting a small business card with “questionable” adult entertainment advertisements in your hand. Some will slap papers to your chest, leaving you no choice but to grab the flyers. On a different level, this action occurs on a regular basis by union member. But instead of shady characters pushing questionable entertainment, it is union representatives pushing a dispute with a local employer over working conditions.     SEC Recommendations to Protect Against Cybersecurity Threats

    March 09, 2020 —
    What Happened? The Securities and Exchange Commission's Office of Compliance Inspections and Examinations ("OCIE") issued a detailed report on January 27, 2020 regarding various ways for organizations to safeguard data and protect against security and data breaches. Cyber threat actors are now invading data in a more sophisticated manner than ever before, and implementation of the SEC's recommended practices are essential in order to protect from outside vulnerabilities. What is at Risk? If market participants fail to implement these recommended policies, they will become more vulnerable to external attacks and data breaches. This can weaken an organization or firm if all employees are not properly trained and informed of the increasing dangers of cybersecurity breaches. What Can You Do to Protect Yourself from a Cybersecurity Threat? 1. Governance and Risk Management. Senior leaders should make efforts to improve the cyber safety at their organization. Some of these efforts may include:
    • Devote attention to overseeing the organization's cybersecurity and resilience programs;
    • Develop a risk assessment process to identify and mitigate cybersecurity risks to the organization;
    • Adopt and implement policies and procedures regarding these risks;
    • Promptly respond and adapt to changes by updating policies and procedures when necessary; and
    • Establish communication policies and procedures to provide timely information to customers, employees, and others when needed.
    2. Access Rights and Controls. Implement updated controls to determine appropriate users for organization systems, limit access as appropriate to authorized users (including the set-up of multi-factor authentication) and monitor user access. 3. Data Loss Prevention. OCIE has recommended various important data loss prevention measures for organizations:
    • Establish a vulnerability management program;
    • Implement capabilities that can monitor network traffic and detect threats on endpoints;
    • Establish a patch management program covering all software and hardware;
    • Maintain an inventory of hardware and software assets;
    • Encrypt data and implement network segmentation;
    • Create an insider threat program to monitor any suspicious behaviors; and
    • Secure legacy systems and equipment through disposal of sensitive information from hardware and software and by reassessing vulnerability and risk assessments.
    4. Mobile Security. Establish policies and procedures for mobile device use, manage use of mobile devices through a mobile device management application, implement security measures for internal and external users, and train employees on mobile device policies and effective practices. 5. Incident Response and Resiliency. Detect and disclose material information regarding incidents in a timely manner and assess appropriateness of corrective actions taken in response to incidents. Organizations should develop a plan if an incident occurs, address applicable reporting requirements, assign staff to execute specific areas of the plan, and test and assess the plan. In the event that a data breach occurs, an organization should improve its resiliency by maintaining an inventory of core business services and prioritizing business operations based on an assessment of risks. 6. Vendor Management. Establish a vendor management program to ensure that vendors meet your organization's security requirements. Organizations should aim to understand all contract terms with vendors to ensure that all parties are in agreement regarding risk and security. Organizations should also monitor third-party vendors and ensure that the vendor continues to meet the organization's security requirements. 7. Training and Awareness. Train staff to implement cybersecurity policies of the organization. Organizations should provide cybersecurity and resiliency training and re-evaluate the effectiveness of training procedures. A Final Reminder for Organizations Organizations should strive to implement as many of the SEC's recommended protection measures as possible. Ensuring that senior members of an organization are leading the initiative in increased awareness about cybersecurity threats through training of employees will lead to greater cyber safety for the overall organization. Although prevention of all breaches cannot be guaranteed, developing data loss prevention plans to keep the organization and its core businesses safe from attack will benefit the entire organization.     Third Circuit Holds No Coverage for Faulty Workmanship Despite Insured’s Expectations

    November 21, 2018 —
    In its recent decision in Frederick Mut. Ins. Co. v. Hall, 2018 U.S. App. LEXIS 31666 (3d Cir. Nov. 8, 2018), the United States Court of Appeals for the Third Circuit had occasion to consider Pennsylvania’s doctrine of reasonable expectations in the context of a faulty workmanship claim. Hallstone procured a general liability policy from Frederick Mutual to insure its masonry operations. Notably, when purchasing the policy through an insurance broker, Hallstone’s principal stated that he wanted the “maximum” “soup to nuts” coverage for his company. Hallstone was later sued by a customer for alleged defects in its masonry work. While Frederick agreed to provide a defense, it also commenced a lawsuit seeking a judicial declaration that its policy excluded coverage for faulty workmanship. The district court agreed that the business risk exclusions applied, but nevertheless found in favor of Hallstone based on the argument that Hallstone had a reasonable expectation that when applying for an insurance policy affording “soup to nuts” coverage, it this would include coverage for faulty workmanship claims.
