Corporate Transparency Act’s Impact on Real Estate: Reporting Companies, Exemptions and Beneficial Ownership Reporting (webinar)

On October 23, 2023, colleague Andrew Weiner and Kevin Gaunt, counsel at Hunton Andrews Kurth, examined the Corporate Transparency Act (CTA), effective Jan. 1, 2024, and its impact on real estate entities and transactions, including who is considered a reporting company subject to new beneficial ownership information (BOI) reporting requirements and whether an exemption applies. The panel also discussed certain state laws that impose similar reporting requirements as the CTA and described best practices for real estate counsel to assist their clients with preparing for the CTA’s implementation and ongoing compliance. The panel also reviewed other important considerations, including:

1. Which real estate entities will likely be most affected by the CTA’s implementation and why?
2. What exemptions may apply?
3. How will the CTA’s reporting requirements affect real estate transactions for lenders and investors/buyers?

Nation’s Top Court Limits EPA's Authority in Clean Air Case

Crime Lab Beset by Ventilation Issues

A new crime lab in Clayton county, Missouri, is beset with “’hurricane-like’ gales and persistent dripping water that officials say threatened to contaminate key evidence from crimes,” reported the St. Louis Post-Dispatch. St. Louis County Police Chief Tim Fitch admitted that he didn’t believe any evidence has been destroyed yet, but we’re “talking about highly sensitive evidence from homicide scenes that we must assure is not being contaminated by leakage or other means.” According to the St. Louis Post-Dispatch, the “general contractor and public works official insist the problems—and extreme temperature differences among rooms—were glitches expected in any major project, and are being fixed.” Read the court decision

What to Do Before OSHA Comes Knocking

Every year, the U.S. Occupational Safety and Health Administration (OSHA) inspects workplaces around the country for safety and occupational hazards. In 2017 alone, OSHA conducted 32,408 inspections – more than half of which were unprogrammed inspections. There are six reasons OSHA might come knocking on the door. They are (in order of priority):
1. imminent danger situations;
2. severe injuries and illnesses;
3. worker complaints;
4. referrals;
5. targeted inspections; and
6. follow-up inspections.

Los Angeles Warehousing Mecca Halts Expansion Just as Needs Soar

Communities in the Inland Empire, the US’s logistics mecca east of Los Angeles, are suspending new warehousing projects to examine the impact from decades of pollution -- putting the industry under pressure when it’s needed most. This week, the city council for Pomona is set to vote on extending a temporary halt on industrial developments to study the environmental impact, while the nearby city of Norco will decide whether to establish a 45-day moratorium. The actions follow similar freezes by a handful of Southern California cities like Riverside, Colton, Chino and Redlands over the past several years. Meanwhile, a state-level bill -- which is a long-shot to pass in the legislature but gives a reading of the mood -- proposes banning large industrial construction within 1,000 feet of non-industrial areas such as schools, homes and playgrounds in Riverside and San Bernardino counties, an area that spans 27,000 square miles. Enerpac Plays Critical Role in Industry-changing Discovery for Long Span Bridges at The University of Nebraska-Lincoln
