    Jury Finds Broker Liable for Policyholder’s Insufficient Business Interruption Limits

    January 06, 2020 —
    After a four-day trial, an Arizona federal jury found that Western Truck Insurance Services, Inc., an insurance broker, was negligent in selling Madison Alley Transportation and Logistics Inc. a business interruption policy with inadequate annual limits. Based on its finding of negligence, the jury determined that the broker was liable for $685,000 of $1,000,000 in damages suffered by Madison Alley as a result of a flood in its warehouse. The verdict and Complaint, filed in Arizona state court before the case was removed, can be found here and here. In June 2016, a subtenant in Madison Alley’s warehouse broke a sprinkler line while operating a forklift, causing the warehouse to flood. The warehouse was used to store and deliver retail display goods, and Madison Alley was unable to do business during the five months of repairs. Madison Alley sought coverage under a business interruption policy it had purchased through Western Truck, but the policy’s $20,000 limit was not enough to cover its approximately $1,480,000 in losses.     Denial of Claim for Concealment or Fraud Reversed by Sixth Circuit

    October 01, 2014 —
    The Sixth Circuit reversed the district court's order granting summary judgment to State Farm based upon the insured's alleged concealment of the truth when questioned about a fire that destroyed his home. Rose v. State Farm Fire & Cas. Co., 2014 U.S. App. LEXIS 17312 (6th Cir. Sept. 8, 2014). A fire destroyed the insured's home. He reported the loss to State Farm, who assigned Rob Raker to investigate the claim. Coverage was denied because State Farm contended that the "Intentional Acts" and "Concealment or Fraud" conditions of the homeowner's policy were violated. The insured sued State Farm. The district granted summary judgment to State Farm after finding that some of the answers the insured gave to Raker were misleading and material. The court determined that the insured failed to identify multiple tax liens and judgments when questioned about his financial status. Read the court decision

    “Pay When Paid” Provisions May Not Be Dead, at Least Not Yet

    August 24, 2020 —
    Sophisticated contractors know that in California contractual “pay when paid” provisions are enforceable but that “pay if paid” provisions are not. “Pay If Paid” v. “Pay When Paid” Provisions A “pay if paid” provision is one in which a higher tier party agrees to pay a lower tier party “if” it is paid in turn by a still higher party. Most commonly they are found in subcontracts between general contractors and subcontractors and provide that the general contractor will pay the subcontractor “if” the general contractor is paid by the project owner. However, they can also be found in subcontracts between higher and lower tiered subcontractors and between subcontractors and material suppliers and equipment lessors. In California, such provisions, which create a condition precedent to payment, namely, a condition that must precede payment to a lower tiered party, are void as a matter of law.     Delay In Noticing Insurer of Loss is Not Prejudicial

    April 28, 2014 —
    The Tenth Circuit reversed a district court's determination that untimely notice of the loss was prejudicial, eliminating the insurer's coverage obligations. B.S.C. Holding, Inc. v. Lexington Ins. Co., 2014 U.S. App. LEXIS 4492 (10th Cir. March 11, 2014). In January 2008, the insured's employees detected an inflow of water in a salt mine and feared dissolution of the salt or structural problems. The insured tried to devise a solution. Two and a half million dollars were spent to find the cause of the water inflow and to identify a solution. In April 2010, the insured determined the inflow was caused by an improperly sealed oil well. In July 2010, the insured notified Lexington of the water inflow. The ultimate proof of loss was for $7.5 million, which included remediation measures that the insured had performed before notifying Lexington. Lexington's all-risk policy required the insured to notify the company in writing as soon as practicable. Read the court decision

    Construction Feb. Jobs Jump by 61,000, Jobless Rate Up from Jan.

    Caltrans Hiring of Inexperienced Chinese Builder for Bay Bridge Expansion Questioned

    July 16, 2014 —
    The construction of the new eastern span of San Francisco’s bay bridge has been criticized for the $6.5 billion cost, welding crack violations, and alleged cover ups by Caltrans. The Sacramento Bee reported that the company Shanghai Zhenhua Port Machinery Co. Ltd. (ZPMC) “had never built a bridge.” In fact, ZPMC “was a manufacturer of giant cranes for container ports.” How then did ZPMC manage to obtain the contract? The Sacramento Bee stated that the company “had established a reputation as fast and cost-effective, offering savings of about $250 million compared to the competing bidder.” The project was already “years behind schedule and billions of dollars over budget by political squabbles and construction delays” and there were some fears that the “old bridge might not survive a major quake.” Caltrans was told by an outside expert that ZPMC was a “high risk,” however, the company received a “contingent pass.” Sacramento Bee reported that an audit showed “ZPMC didn’t have enough qualified welders or inspectors…and routinely welded in the rain, a basic error that often causes defects.” Regardless, Caltrans signed off on the project. “In August 2007, Caltrans auditors approved ZPMC outright, although the firm still lacked adequate quality control, even for ‘fracture critical’ materials,” the Sacramento Bee reported. During the California Senate committee hearing in January, Doug Coe, a senior Caltrans engineer, said “’The race for time’ created overwhelming pressure to keep moving as planned….But there’s no excuse for building something defective like that because we are in a race for time.” Read the court decision

    COVID-19 Impacts on Subcontractor Default Insurance and Ripple Effects

    April 20, 2020 —
    Subcontractor default insurance (“SDI”) may be described as an alternative to bonding subcontractors. SDI is first-party insurance that compensates the general contractor insured in the event a covered subcontractor fails to fulfill its contractual obligations. Under SDI policies, general contractor insureds are obligated to develop and implement rigorous subcontractor prequalification procedures. Basic questions and answers about how SDI might come into play and impact the construction industry in response to COVID-19 follow: Who may make a claim on an SDI policy? The general contractor may make a claim. An Owner may make a claim if the general contractor becomes insolvent in many cases. Subcontractors may not make claims on SDI policies.
