Appellate Court of Maryland Construes Notice Conditions of A312 Performance Bond in Favor of Surety

The Appellate Court of Maryland issued a reported opinion in a case construing an American Institute of Architects (“AIA”) A312 performance bond. In Wildewood Operating Company, LLC v. WRV Holdings, LLC, et al. 2023 Md. App. LEXIS 720 (Oct. 30, 2023), the Appellate Court of Maryland held that a performance bond surety was discharged from liability where the owner/obligee failed to give the surety notice of the contractor’s default termination until after a third party had completed the work. The project concerned the construction of an assisted living facility in St. Mary’s County, Maryland. The owner, Wildewood Operating Company, LLC, entered into an A312-2010 performance bond with Clark Turner Construction, LLC, as contractor, and First Indemnity of America Insurance Company, as surety. When Clark Turner failed to complete certain stormwater management work adjacent to the site, Wildewood, Clark Turner, and other parties entered into a Work Agreement to address completion of the work. Drones Used Despite Uncertain Legal Consequences

Francis Manchisi of Wilson Elser discussed how several industries—including construction—are using unmanned aircraft systems or unmanned aerial vehicles, commonly referred to as drones, and are either exploiting legal loopholes or ignoring laws altogether. The Federal Aviation Administration (FAA) has recently released a Notice of Proposed Rulemaking, which is now in a 60-day “notice and comment” period that is open to the public. Once that period ends, the FAA will consider the comments before putting the rules into law. According to Manchisi, the proposed rules include:

Unmanned aircraft must weigh less than 55 lbs. (25 kg).
Unmanned aircraft must remain within visual line of sight (VLOS) of the operator or visual observer.
Maximum altitude is 500 feet above ground level.
Preflight inspection by the operator is required.
Operators are required to obtain an unmanned aircraft operator certificate with a sUAS rating from the FAA.

Investigation of Orange County Landslide

On May 29th, a landslide occurred in Newport Beach, California “about 100 yards below homes on Tidal Surf, Newport Beach Battalion Chief Justin Carr” according to the Orange County Register. Carr stated that the “slide measured about 150 yards wide and about 40 feet in length.” A building inspector and a geologist inspected the site to determine the danger, if any, to the homes in the neighborhood. The Orange County register reported that it has not been determined whether a recent earthquake in the area caused the landslide. Read the court decision

Mental Health and Wellbeing in Construction: Impacts to Jobsite Safety

In the construction industry, workplace safety efforts have often focused on eliminating the most-common causes of on-the-job accidents, such as falls, being struck by or caught in-between objects, electrocutions, or being exposed to hazardous chemicals and substances. For more than two decades, the National Association of Home Builders (NAHB) has been at the forefront of enhancing physical safety and health in residential construction. NAHB takes proactive steps to keep members and affiliated state and local associations informed and educated about safety and health issues and trends affecting the building industry, including developing safety and health resources to help builders and contractors operate safe jobsites and lower workers’ compensation costs. However, we recently have learned that construction workers are particularly susceptible to mental health issues and suicide – which is a silent killer in construction, and we know that the home building industry is not immune to the issues in the construction industry at large. We also know that industry associations have a role to play in promoting the importance of worker health and well-being to their member organizations. Helping to create sustainable workplaces and healthy, thriving professionals strengthens the industry and deepens the volunteer leadership bench. In addition to the benefits to the association, workplace well-being is good for employee health and retention, may reduce the cost of insurance, sick time, and employee turnover, and increase productivity. This can be accomplished by addressing mental well-being as part of overall safety – both physical and psychological. How big is this problem of mental health and suicides in construction? According to the Centers for Disease Prevention and Control (CDC), the construction industry has one of the highest rates of death by suicide compared to other industries. In 2017, the suicide rate for construction workers was 53.3 per 100,000 workers, which is nearly five times greater than the rate for all fatal work-related injuries in construction (9.5 per 100,000 workers) from the physical hazards companies focus on eliminating. Pay-if-Paid Clauses, Nasty, but Enforceable

I am preparing for a presentation this week on Troublesome Contract Clauses to the Construction Specifications Institute (“CSI”), Nebraska Chapter. One of the clauses we will be discussing is the dreaded Pay-if-Paid clause, a particularly nasty provision that places the risk of owner’s solvency squarely on the subcontractor’s shoulders. While pay-if-paid clauses can create tremendous problems for subcontractors, they are enforceable. Pay-if-Paid clauses eliminate the obligation to pay the subcontractor until the general contractor is paid by the owner. Pay-if-paid clauses usually contain something akin to the following phrases:

payment to subcontractors are “expressly and unequivocally contingent upon receipt of payment from the Owner for the Subcontract Work.”
the subcontractor “expressly acknowledges that it relies on payment under the Subcontract on the creditworthiness of Owner, not that of the General Contractor.”
the owner’s acceptance of the work and payment to the General Contractor are “conditions precedent to any obligation of the General Contractor to pay the subcontractor.”

Denver Parking Garage Roof Collapses Crushing Vehicles

On Monday night, a parking garage ceiling collapsed at the Park Mayfair Condos in Denver, Colorado, according to KKTV News. Residents claim that “between five and ten vehicles were completely destroyed after the ceiling of the underground garage caved in.” No one was injured from the incident. Structural engineers have not commented “yet on how the collapse occurred, but residents told sister station KCNC that the ceiling fell after a cement beam holding up one side of the roof collapsed.” According to KWGN News, FOX31 interviewed a “passerby” who alleged that he lived in the condominium five years ago, but moved out “because inspectors repeatedly sent notices to fix problems with the garage, but, to his knowledge, no action was taken by the condo complex.” Read the full story at KKTV News... Second Month of US Construction Spending Down

ABC News reported that US Construction spending was down again in September, though housing had a slight rebound. "Construction spending dropped 0.4 percent in September compared to August when spending fell 0.5 percent, the Commerce Department reported Monday," as quoted by ABC News. However, "expectation is that further gains in construction will help support growth this quarter and into next year. Many economists are looking for the economy to grow at a 3 percent rate in the final three months of this year and average 3 percent in 2015 as well," according to ABC News. Read the court decision
