Fraud, the VCPA and Construction Contracts

Christopher G. Hill – Construction Law MusingsI’ve discussed the economic loss rule here at Musings on several occasions. The economic loss rule basically states that where one party assumes a duty based in contract or agreement, the Virginia courts will not allow a claim for breach of that duty to go forward as anything but a contract claim. This doctrine makes fraud claims nearly, though not absolutely, impossible to maintain in a construction context. In a majority of instances, fraud and construction contracts are very much like oil and water, leaving parties to fight it out over the terms of a particular contract despite actions by one party or the other that non-lawyers would clearly see as fraud.
However, a recent case decided by the Virginia Supreme Court gives at least some hope to those who are seemingly fooled into entering a contract that they would not other wise have entered into. In Philip Abi-Najm, et. al, v Concord Condominium, LLC, several condominium purchasers sued Concord under for breach of contract, breach of the Virginia Consumer Protection Act (VCPA) and for fraud in the inducement based upon flooring that Concord installed that was far from the quality stated in the purchase contract. Based upon these facts, the Court looked at two questions: 1. Did a statement in the contract between Concord and the condo buyers create a situation in which the merger doctrine barred the breach of contract claim, and 2. Did the economic loss rule bar the VCPA and fraud claims?

New California Construction Law for 2019

Congress to be Discussing Housing

Investors Unite on Solutions for U.S. Housing Policy hosts the first forum, which will be followed by a presentation by Joshua Rosner, author of Reckless Endangerment. Rosner will speak on “how to move forward on housing reform and what are the consequences of getting housing reform wrong.” Furthermore, “he will critique the recent efforts in Congress to reform Fannie Mae and Freddie Mac.”

Contract, Breach of Contract, and Material Breach of Contract

Parties to a contract agree to perform a specific action on the condition that the other side also performs a specific action. For instance, you and a Girl Scout could create a contract in which the Girl Scout agrees to deliver one box of cookies and you agree to pay her $6.00. In this case, both you and the Girl Scout have obligations under the contract.
If the Girl Scout failed to send you the cookies, what do you do? You send her a note, in writing, telling her that you expect the cookies (or assurance that you will get the cookies) within a certain amount of time—this is notice and the opportunity to cure. Most contracts have a “notice and opportunity to cure” provision, which essentially says that one side must give the other side an opportunity to fix breaches before canceling the contract. Once a party receives a notice to cure, they must either rectify the problem or offer adequate assurances that they will fix the problem. Generally, the party has only a short period of time to address the breach.

COVID-19 Likely No Longer Covered Under Force Majeure

Rachel E. Pelovitz - Construction ExecutiveA recent decision by the U.S. Government Accountability Office (GAO) has shaken up construction contracts. While companies could claim “force majeure” to exempt themselves from contractual obligations during much of the pandemic, this decision challenges ongoing validity of those claims.
The decision was based on the Army Corps of Engineers deeming a bid from Boulder, Colorado–based American Mine Services (AMS) as nonresponsive because it included a COVID-19 force majeure clause. In reviewing the Corps’ decision, GAO—referencing the Federal Acquisition Regulation—found that “epidemics” and “quarantine restrictions” were already included in the contract between the Corps and AMS. Although AMS claimed that “COVID-19 is considered a force majeure event along with any other similar disease, epidemic or pandemic event,” the GAO concluded that this interpretation limited the rights of the government too much.

A Year Later, Homeowners Still Repairing Damage from Sandy

CDJ STAFFThe New York and New Jersey coastal communities are still in the thick of rebuilding and repairing after hurricane Sandy struck almost a year ago. Newsday reports that in the eight months following the October 2012 storm, more than 23,000 building permits were issued in Long Island communities, an 11 percent rise over the previous year. The town of Long Beach, New York has waived fees and hired more staff in order to encourage people to rebuild, in order to rebuild the town’s tax base.
Homeowners aren’t going it alone, New York expects to fund more than $1 billion of rebuilding for homeowners who are unable to afford repairing their homes. At this point, the state is still processing more than five thousand requests for grants. The money is still in the state’s coffers. Other homeowners are still filing insurance claims.
While towns are busy issuing building permits, contractors are busy too. Bill Sims of Sims Steel said that his business has changed from commercial construction to raising homes higher to put them above future floods. “There’s probably been more homes raised this last year than in the previous 20 years,” he told Newsday. Another contractor, Pat Gordon said that he is “only taking what we can handle.” He described Long Beach as “a traffic jam of construction trucks that has never been seen before.”
