    The New York Lien Law - Top Ten Things You Ought to Know

    Over the course of my career, I have had the privilege of working with and representing numerous construction lenders (and borrowers/developers) in the financing of some of the largest commercial projects in the United States. A number of these projects have been in New York, where one encounters the New York Lien Law (the “Lien Law”). Many of my clients, particularly those lenders, borrowers, and their counsel, located outside of New York, are often perplexed by my advice regarding the Lien Law and the loan structuring requirements which result. In the hope that it would be helpful (especially for non-New York counsel), I have compiled a “top ten” list outlining, in my view, the most critical (and most perplexing) aspects of structuring New York construction loans under the Lien Law.     Should I Pull the Pin? Contractor and Subcontractor Termination for Cause

    January 26, 2017 —
    Any owner or general contractor who has a few projects under his or her belt has likely had this thought: “My contractor (or subcontractor) is not performing the way I expected; should I replace him?” The other side of the termination coin is: “This project is not going the way I expected; should I get out?” While there may be an emotional high that immediately comes from terminating a contractor or subcontractor (or leaving a project, in mid-stream), there are many factors to be weighed, before making that decision. Project Delay. Replacing a contractor or subcontractor that has already begun performance always results in delays to the project. Assessing the work in place, interviewing replacement contractors, and negotiating the terms of the new relationship can easily consume weeks, if not months of project time. Read the court decision

    The Anatomy of a Construction Dispute Stage 2- Increase the Heat

    January 21, 2015 —
    Last week we discussed the groundwork and circumstances of a construction claim. This week’s post will discuss the next steps, hopefully short of full blown arbitration or litigation that you, as a construction company, can pursue presuming your claim has been properly preserved. If your contract requires certain steps such as informal resolution attempts or other items, these are the first things that must be done while still preserving your rights to pursue all remedies available. Instituting such contractually required resolution steps can and should be the first “notch” on the dial of increased pressure on the Owner, General Contractor or possibly Subcontractor against whom you have a claim.     Spearin Doctrine as an Affirmative Defense

    November 30, 2016 —
    The Spearin doctrine, referred to as the implied warranty of constructability doctrine, is oftentimes utilized as an affirmative defense by a contractor being sued for construction defects. Under the Spearin doctrine (recognized in the government contract setting), a contractor is NOT liable for defects in the plans and specifications furnished by the owner if the contractor constructs the project pursuant to the plans and specifications. This is because the owner impliedly warrants the constructability of the plans and specifications it furnishes to the contractor. Hence, the contractor should not be liable for defective construction caused by the owner furnishing defective plans and specifications. Read the court decision

    Tighter Requirements and a New Penalty for Owners of Vacant or Abandoned Storefronts in San Francisco

    June 18, 2019 —
    Ordinance 52-19 became effective in April 2019 and expands upon existing San Francisco Building Code registration requirements for “Vacant or Abandoned” “Commercial Storefronts.” A storefront becomes “Vacant or Abandoned” once it has been unoccupied for 30 days (among other earlier triggers for blighted or unsecured storefronts). A “Commercial Storefront” is broadly defined as “any area within a building that may be individually leased or rented for any purpose other than Residential Use as defined in Planning Code.” (See § 103.A.5.1 of the San Francisco Building Code.) So, a building that is 97% leased could still contain a Vacant or Abandoned Commercial Storefront, which would technically require registration under the Building Code. Read the court decision

    Fatal Boston Garage Demolition Leaves Long Road to Recovery

    April 04, 2022 —
    Massachusetts' officials are bracing for a lengthy recovery process following the March 26 fatal collapse during demolition of a section of a hulking Brutalist-era parking garage in Boston. JDC Demolition was razing the Government Center structure to make way for a 410,000-sq-ft life-sciences complex, when a multistory portion near the top failed, killing 51-year-old operating engineer Peter Monsini.     Despite Health Concerns, Judge Reaffirms Sentence for Disbarred Las Vegas Attorney

    October 02, 2015 —
    The Las Vegas Review-Journal reported that the “life-threatening health and custody status of disbarred Las Vegas attorney Barry Levinson remained uncertain Thursday after a judge refused to reconsider his harsh prison sentence.” Levinson had been convicted of defrauding homeowners associations. Brent Bryson, Levinson’s attorney, claims that the stress of custody issues has caused health problems for his client, reported the Las Vegas Review-Journal. Bryan stated that “Levinson had heart failure while in federal custody and needs either a special heart valve operation in Southern California or a heart transplant to survive.” District Judge Michael Villani suggested that Bryson should file a civil suit for the matter.     November 27, 2013 —
    Across the country, construction was up 5% in October, smaller than September’s 13% increase over August, but continuing the trend of escalating construction. The increase in October was largely due to non-residential construction, which was the case in September as well. The projects that drove the increase were described as “large and unusual,” and as such perhaps cannot be counted on to sustain the growth of the construction industry. The $1.7 billion fertilizer plant being built in Iowa cannot be viewed as typical. Read the court decision
