PSA: Pay If Paid Ban Goes into Effect on January 1, 2023

I have written a couple of times here at Musings regarding the new pay-if-paid legislation passed by the General Assembly last session. While the statute has some inconsistencies and a working group has made some recommendations, the legislation as passed will go into effect on January 1, 2023, without any changes (at least until next session). As always, such action by our legislature here in Virginia will create work for construction attorneys assisting their clients to amend contracts to meet the new rules. Essentially (and with minor inconsistencies between public and private contracts), the bill requires that any construction contract entered into after January 1, 2023 have the following provisions:

On public projects: A payment clause that obligates a contractor on a construction contract to be liable for the entire amount owed to any subcontractor with which it contracts. Such contractor shall not be liable for amounts otherwise reducible due to the subcontractor’s noncompliance with the terms of the contract. However, in the event that the contractor withholds all or a part of the amount promised to the subcontractor under the contract, the contractor shall notify the subcontractor, in writing, of his intention to withhold all or a part of the subcontractor’s payment with the reason for nonpayment.

Construction Up in United States

Across the country, construction was up 5% in October, smaller than September’s 13% increase over August, but continuing the trend of escalating construction. The increase in October was largely due to non-residential construction, which was the case in September as well. The projects that drove the increase were described as “large and unusual,” and as such perhaps cannot be counted on to sustain the growth of the construction industry. The $1.7 billion fertilizer plant being built in Iowa cannot be viewed as typical. Read the court decision

BIM Meets Reality on the Construction Site

BIM models are mostly used by foremen on construction sites. But what if they could be made available for workers at the press of a button? This question was what the Finnish government-funded KIRA pilot project set out to answer. As a by-product, the project also produced augmented reality (AR) solutions for construction sites. The research project was called ”Digitalization of a construction project based on role and location information” (RoPa). An Architect Uses AI to Explore Surreal Black Worlds

For architect Curry Hackett, the appeal of using artificial intelligence to design projects isn’t to build the world of the impossibly distant future. Instead he wants to mine the near present, using machine learning to generate postcards from a world that is recognizably our own, but refracted through a lens of Black history and material design. Hackett is the designer behind a series of provocations made using AI to remix Black vernacular architecture in kaleidoscopic Afrofuturist landscapes. Specifically, he’s assembling images with Midjourney, an AI tool favored by architects to imagine what buildings might look like. Hackett’s prompts result in straightforward yet surreal sets, including roadside Popeyes kiosks in rural North Carolina, homes with inflatable porches in the Florida panhandle and park benches made out of the couch from grandma’s living room. Quilts, basket weaving and other cultural modes associated with American South are the building materials for Hackett’s speculative futures. Read the court decision

Construction Defect Bill a Long Shot in Nevada

Construction defect reform may still be on the table in Nevada, according to the Reno Gazette Journal. Assembly member Pat Hickey got a committee hearing for Assembly Bill 504 on Sunday. The bill is backed by the construction industry and opposed by trial lawyers. Hickey told the Assembly Commerce and Labor committee that “this bill is not perfect, I would like for it to do more,” and said that without changes Nevada will “continue to reward litigation over resolution.” AB504 would, among other provisions, provide some protection to subcontractors from the actions of general contractors, though Ira Hansen, an assembly member from Sparks and the owner of a plumbing business, called it a “backhanded slap.” The Gazette noted that similar language pertaining to subcontractors was in AB367, which is sponsored by Democrats. California Case Is a Reminder That Not All Insurance Policies Are Alike Regarding COVID-19 Losses

A recent case from the Central District of California reminds us that not all insurance policies are alike. Depending on the particular policy, losses from the COVID-19 outbreak could qualify as property damage and therefore could be recoverable under an all-risk insurance policy. COVID-19 has in many cases imposed significant costs on contractors, and in a host of ways. Contractors’ attempts to recover these costs from owners or insurers have at times been frustrated by contractual or policy language written after a lengthy time, during which the risk of a pandemic on the scale of COVID-19 was not as much of a concern as it is now. This has led contractors to explore new, often creative legal theories in their attempts to recover costs flowing from COVID-19. A recent Complaint filed in the Central District of California focuses on all-risk property insurance policies and the potential for contractors who have purchased such policies to classify contamination from COVID-19 as an insurable property loss. In AECOM v. Zurich Insurance Company, Case No. 2:21-cv-00237-JAK-MRW (C.D. Cal), a contractor purchased “all-risk” property insurance from Zurich. This policy covered “economic losses from all risks not expressly excluded.” According to the Complaint, the presence of COVID-19 on its properties “physically alter[ed] air, airspace, and surfaces preventing… (the contractor) from using its properties for their intended purpose and function.” Reprinted courtesy of Neal I.
