    Client Alert: California’s Unfair Competition Law (B&P §17200) Preempted by Federal Workplace Safety Law

    September 24, 2014 —
    In Solus Industrial Innovations LLC v. Superior Court (No. G047661, filed 9/22/2014) (“Solus”) the California Court of Appeal, Fourth Appellate District, held California’s Unfair Competition Law (Business & Professions Code §17200) is preempted by the federal Occupational Safety and Health Act of 1970 (“Fed/OSHA”) because the Unfair Competition law, as approved by the United States Secretary of Labor, does not include any provision for civil enforcement of workplace safety standards by a state prosecutor through a complaint for penalties. Solus Industrial Innovations, LLC (“Solus”) is a plastics manufacturer. In 2007, Solus installed a residential water heater at its commercial facility in Orange County. The water heater exploded in March 2009, killing two workers. California’s Division of Occupational Safety and Health (“Cal/OSHA”) investigated and determined the explosion was caused by a failed safety valve and lack of any proper safety feature on the water heater. Cal/OSHA charged Solus with five violations of Title 8 of the California Code of Regulations. Because deaths were involved, Cal/OSHA forwarded the results of its investigation to the Orange County District Attorney. In March 2012, the Orange County District Attorney filed criminal charges against Solus’ plant manager and maintenance supervisor. The District Attorney also filed a civil action against Solus, including two causes of action for violation of California Business & Professions Code §17200 – the Unfair Competition Law (“UCL”). The action sought civil penalties under the UCL in the amount of $2,500 per day, per employee, from November 29, 2007 through March 19, 2009.     Philadelphia Revises Realty Transfer Tax Treatment of Acquired Real Estate Companies

    January 05, 2017 —
    On December 8, 2016, the Philadelphia City Council voted unanimously to amend the ordinance governing realty transfer taxes in an effort to increase tax revenue. The current combined realty transfer tax rate in Philadelphia is 4.0% and will increase to 4.1% after December 31, 2016.[1] The amendment significantly impacts how taxes are imposed upon transfers of ownership in so-called “real estate companies” and effectively eliminates deals commonly referred to as 89-11 transactions. The amendment mainly focuses on transfers of real estate companies, rather than direct transfers of real estate, but it also affects certain direct transfers of real estate in exchange for noncash consideration.     Don’t Do this When it Comes to Construction Liens

    September 07, 2020 —
    When it comes to preparing and recording a construction lien, this case is an example of what NOT TO DO! I mean it — this exemplifies what NOT TO DO! It is also a case study of why a party should always work with counsel in preparing a construction lien so that you can avoid the outcome in this case–your lien being deemed fraudulent. In Witters Contracting Company v. West, 2020 WL 4030845 (Fla. 2d DCA 2020), homeowners hired a contractor to renovate their home under a cost-plus arrangement where the contractor was entitled to a 10% fee on construction costs. The contract also required extra work to be agreed in writing between the owner and contractor. During construction a dispute arose. The contractor texted the owner that it will cancel the permit and record a $100,000 construction lien if the owner did not pay it $30,000. Shortly thereafter, the contractor’s counsel sent the homeowners a demand for $59,706 with back-up documentation. Less than a week later, the contractor recorded a construction lien for $75,000. The owners initiated a lawsuit against the contractor that included a claim for fraudulent lien. The contractor then amended its construction lien for $87,239. Read the court decision

    ASCE Statement on Devastating Impacts of Hurricane Helene

    October 07, 2024 —
    WASHINGTON, DC. – We are deeply saddened by the tragic loss of life across six states, in addition to the immeasurable damages caused by Hurricane Helene throughout the Southeast this past week. Hundreds of communities are without power. Citizens cannot move safely from one place to another. And in its wake, the storm has left many without drinking water and sewage services. As civil engineers, our first priority when we design and build the structures that connect us is the public's safety and well-being; we are heartbroken to see so many lives lost or upended by Hurricane Helene. As someone who has experienced losing everything in a catastrophic flood event, I have seen first-hand the need for making communities more resilient, and the consequences of failing to do so. Although hurricanes have consistently been a threat in the U.S., particularly in the Southeast, extreme weather events and 500-year floods are increasing in regularity and our aging infrastructure systems were not built to withstand storms of this magnitude. Total prevention of loss of life or property damage can never be guaranteed, but Helene is a reminder of the importance of widespread adoption of up-to-date, modern building codes and standards. We are thankful for the hard work of first responders, the military, and other organizations working around the clock to save lives and meet the immediate needs of people affected by this storm. As communities begin the long recovery process, civil engineers will be there to help communities rebuild the roads, bridges, dams, water systems, and other infrastructure damaged or destroyed by the storm.     New Jersey Firm’s Fee Action Tossed for not Filing Substitution of Counsel

    August 13, 2014 —
    Even though their client had terminated their services by email, a “New Jersey appeals court has tossed out a firm’s fee action” finding that the firm had “remained counsel of record because it did not file a substitution of counsel until almost a year later,” the New Jersey Law Journal reported. In Arturi, D’Argenio, Guagliardi & Meliti v. Sadej, Jesse and Carla Sadej had retained the firm, Arturi, D’Argenio, Guagliardi & Meliti, “to defend them in the underlying land use litigation brought in 2002 by the borough of Seaside Park, N.J.” The case had been dismissed, but was reinstated in 2009 by an appeals court. At that time, Arturi D’Argenio told the Sadejs that they would need to sign a new retainer agreement in order to continue representation. On July 18, 2010, the Sadejs emailed the firm stating that they were “officially terminated,” according to the opinion as quoted by the New Jersey Law Journal. The firm sued the Sadejs “for about $100,000 in fees it was allegedly owed from the Seaside Park case and other matters on behalf of Jesse Sadej.” However, a substitution of attorney wasn’t filed until months later. The case went to the appeals court, which stated that the firm should have withdrawn immediately after receiving the email notification from their client: “Because it failed to do so, it remained counsel of record and therefore was precluded from initiating the collection action at that point,” the judges said, as quoted by the New Jersey Law Journal.     Be Proactive, Not Reactive, To Preserve Force Majeure Rights Regarding The Coronavirus

    March 30, 2020 —
    If you are involved in construction, NOW is the time to consider the potential force majeure impacts associated with the pandemic Coronavirus. Things are beginning to drastically change on a minute-by-minute basis. From travel restrictions, to the suspension or cancellation of events on an international level, to company-wide policies and restrictions, the global uncertainty has led to the possibility that a force majeure delay will occur. Thinking otherwise is not being proactive. The Coronavirus, and the impacts / delays associated therewith, is beyond anyone’s control. Due to the uncertainty, it is hard to fathom at this time a reasonable challenge to someone’s reaction to this concern or their companywide response to the concern.
      If you are a contractor, subcontractor, or even a supplier, my suggestions would be as follows:
    1. Revisit your contracts and see what type of force majeure language it has – anything relating to delays beyond your control or epidemics;
    2. Examine to see whether you have a basis for additional compensation AND additional time;
    3. Examine what type of notice you are required to provide for force majeure events;
    4. Be proactive – send notice now of the potentiality that this pandemic can impact / delay the job –no one should take offense to this letter as this pandemic has impacted all walks of life;
    5. If an impact occurs, send follow-up notice accordingly to ensure rights under the contract are preserved; and
    6. For future contracts, incorporate language that specifically addresses epidemics and pandemics now that the occurrence of this issue has become real.

    Home Building Mergers and Acquisitions 2014 Predictions

    March 19, 2014 —
    John McManus, writing for Big Builder, discusses the various predictions for mergers and acquisitions in the home building field for 2014. While predictions vary between individuals, it seems to hover between 15 and 30. McManus lists several home building seller motivations, such as a “[n]eed for cash infusion to buy and develop new lot pipeline” and “[s]uccession planning.” Finally, McManus points out that not every merger and acquisition discussion will lead to a deal: “We've recently seen a combination or three flounder on the issue of price. This occurs partly as the home builder buyer community becomes more discriminating as to what truly fits their program, and partly as smaller builders attain options as regional and national lenders awaken and look to reenter project financing in a bigger way.” Read the court decision
