A Quick Checklist for Subcontractors

Hill – Construction Law MusingsAfter the last two weeks’ analyses of a couple of big construction decisions that came out recently, I thought I’d keep this week’s post practical and short for those that are not construction lawyers. So without further ado, here is a short checklist of the top things (aside from calling their local experienced construction attorney) a construction subcontractor should do or look for when reviewing a construction contract from a general contractor (and for a couple of these that a general contractor can look for in its prime contract).
- ALWAYS get a copy of the Prime Contract between the Owner and the General Contractor. This contract will contain terms that will “flow down” to you through the incorporation clause that almost every subcontract contains. You can’t do much to change these terms, but you will need to know them as the job progresses.
- READ every provision of the subcontract. I know this sounds simple, but not all subcontracts hide the red flags in the same places. Remember the details of a subcontract can sink you later if you aren’t prepared.

Sometimes, Being too Cute with Pleading Allegations is Unnecessary

David Adelstein - Florida Construction Legal UpdatesThere are times where being too darn cute with your pleading allegations is unnecessary and does not work. But, the point is really that the cuteness is unnecessary.
In a Miller Act payment bond dispute in Boneso Brothers Construction, Inc. v. Sauer, Inc., 2018 WL 2387833 (N.D.Cal. 2018), a claimant asserted claims against a Miller Act payment bond surety for breach of the payment bond, breach of a subcontract, open account, and account stated. The question is why would the claimant sue the payment bond surety for breach of subcontract (when the subcontract was not with the surety), and open account and account stated. I have no clue, other than such claims appeared quite unnecessary when the claimant asserted an action on the Miller Act payment bond (which is what the surety is liable under — actions under the statutory payment bond). Such claims were dismissed. And, they should have been.

New Jersey Firm’s Fee Action Tossed for not Filing Substitution of Counsel

Beverley BevenFlorez-CDJ STAFFEven though their client had terminated their services by email, a “New Jersey appeals court has tossed out a firm’s fee action” finding that the firm had “remained counsel of record because it did not file a substitution of counsel until almost a year later,” the New Jersey Law Journal reported.
In Arturi, D’Argenio, Guagliardi & Meliti v. Sadej, Jesse and Carla Sadej had retained the firm, Arturi, D’Argenio, Guagliardi & Meliti, “to defend them in the underlying land use litigation brought in 2002 by the borough of Seaside Park, N.J.” The case had been dismissed, but was reinstated in 2009 by an appeals court.
At that time, Arturi D’Argenio told the Sadejs that they would need to sign a new retainer agreement in order to continue representation. On July 18, 2010, the Sadejs emailed the firm stating that they were “officially terminated,” according to the opinion as quoted by the New Jersey Law Journal.
The firm sued the Sadejs “for about $100,000 in fees it was allegedly owed from the Seaside Park case and other matters on behalf of Jesse Sadej.” However, a substitution of attorney wasn’t filed until months later.
The case went to the appeals court, which stated that the firm should have withdrawn immediately after receiving the email notification from their client: “Because it failed to do so, it remained counsel of record and therefore was precluded from initiating the collection action at that point,” the judges said, as quoted by the New Jersey Law Journal.

Why Are Developers Still Pouring Billions Into Waterlogged Miami?

James Tarmy – BloombergOn Sunday, an ebullient procession of artists, performers, and city residents filled Collins Avenue between Miami Beach’s 32nd and 36th streets to inaugurate the Faena Forum, a 43,000--square-foot, $150 million, performing- and visual-arts space that’s the cultural centerpiece of the Faena District, a $1 billion development comprising luxury hotels, restaurants, and real estate. The complex is the brainchild of Alan Faena, an Argentinian fashion designer-cum-developer known for his all-white outfits, and Len Blavatnik, a Ukrainian born, New York-based billionaire whose net worth is estimated by Bloomberg Billionaires to be $18.6 billion.
The parade/carnival/performance was was titled “Side by Tide,” which might be an overly optimistic assessment of Miami Beach's sea level. With "king tides" flooding parking garages and a University of Miami study reporting that Miami Beach has seen a 200 percent increase in flooding in the last decade, the tide isn’t on anyone’s side. It’s already beneath the city, seeping upward, often as not, through the ground’s porous limestone and into buildings’ backlogged storm drains. Aside from ruining the undercarriages of residents’ Porsches, this ground-up flooding has a second, perhaps more deleterious effect on the long-term feasibility of Miami Beach: Normal defenses against a rising ocean—such as sea walls or dykes—are useless.

Corvette museum likely to keep part of sinkhole

Bruce Schreiner – BloombergA massive sinkhole that swallowed eight prized sports cars at the National Corvette Museum has become such a popular attraction that officials want to preserve it — and may even put one or two of the crumpled cars back inside the hole.
The board of the museum in Bowling Green, Kentucky, said Wednesday it is in favor of preserving a large section of the sinkhole that opened up beneath the museum in February. It happened when the museum was closed, and no one was injured.
What started as a tragedy has turned into an opportunity to lure more people off a nearby interstate to visit the museum, which struggled in prior years to keep its doors open, museum officials said.

Pensacola Bridge Repair Plan Grows as Inspectors Uncover More Damage

Jim Parsons - Engineering News-RecordWith a still-growing list of repairs needed to restore the barge-damaged Pensacola Bay Bridge, the Florida Dept. of Transportation has yet to determine a timeline for completing repairs. But assessments by the agency’s inspectors indicate that impacts from several Skanska-owned construction barges that unmoored during Hurricane Sally not only resulted in five irreparable spans, as previously reported, but at least two more that will require partial replacement.
